Terms of Service

1. Agreement
These Terms of Service (“Terms”) are a contract between you (“you”, “user”, “customer”) and BUDJINGA (PTY) LTD (Registration number 2026/426535/07) (“Budjinga”, “we”, “us”, “our”).
By accessing https://www.budjinga.com, creating an account, or using the Budjinga budgeting software service (the “Service”), you agree to these Terms, our Privacy Policy, and our Refund Policy (together, the “Agreement”).
If you do not agree, do not use the Service.

2. Who may use the Service
You may use Budjinga if you:
- Are at least 13 years old, or have the consent and supervision of a parent or legal guardian where required by law (our marketing is aimed at adults aged 18 and over; users under 18 need appropriate guardian consent and supervision)
- Have the legal capacity to enter into a binding agreement (or are using the Service under appropriate supervision)
- Provide accurate registration information where required and are responsible for keeping it up to date
- Use the Service only for lawful purposes
You are responsible for any data you input into Budjinga, including financial and transactional information, and acknowledge that the Service relies on user-provided data for budgeting and analytical purposes.
3. The Service
Budjinga provides an online tool to help individuals and small businesses track budgets, transactions, plans, and related workspace data through a web application.
3.1 What we provide
- Account access according to your subscription plan
- Features described on our Pricing page and in the application at the time of use
- Reasonable efforts to keep the Service available and secure
3.2 What we do not provide
- Financial, tax, legal, or investment advice: Budjinga is software only; you are responsible for your financial decisions
- Banking services: we are not a bank, payment institution, or credit provider
- Guaranteed uninterrupted access: maintenance, upgrades, hosting limits, or events outside our control may cause downtime
Features labelled as roadmap, beta, or coming soon may change or be delayed.
3.3 No live bank linking (current version)
Unless we explicitly launch and you enable a supported integration, the Service does not connect to your bank accounts with live bank login. You enter data manually and, on eligible plans, may import transactions from statement files (CSV / Excel) that you upload yourself. File import is not a live bank connection.
4. Accounts and security
4.1 Registration
You must register for an account and verify your email address where required. You are responsible for all activity under your account.
4.2 Passwords and access
Keep your password confidential. Notify us promptly at info@budjinga.com if you suspect unauthorized access. Optional login notification emails are available in your profile settings.
5. Subscription plans and billing
5.1 Plans
Plan names, prices, currency (typically ZAR), workspace limits, and feature flags are shown on our Pricing page and may be updated from time to time. Changes apply to new purchases and renewals as communicated; existing prepaid periods are handled per our Refund Policy and CPA rules.
5.2 Free plan
The Free plan is provided at no charge with the limits shown at signup. We may modify Free plan limits with reasonable notice where required.
5.3 Paid plans
When you select a paid plan:
- You agree to pay the fees for your billing cycle (monthly or yearly, as selected)
- We may issue invoices and provide payment instructions
- Access to paid features may depend on payment status
5.4 Payment and suspension
If an invoice is not paid by the due date (including any grace period we communicate), we may:
- Restrict access to billing and essential account functions
- Suspend the account until outstanding amounts are paid
- Charge reasonable reminder or administration steps permitted by law
Suspension does not erase your data immediately; see section 12.
5.5 Refunds
Refunds are governed by our Refund Policy, which forms part of this Agreement. Nothing in these Terms limits your statutory rights under the Consumer Protection Act or ECTA where they apply.
6. Acceptable use
You agree not to:
- Violate any law or infringe others’ rights
- Upload malware, attempt unauthorized access, or probe or scan systems without permission
- Reverse engineer, scrape, or overload the Service except as allowed by law
- Bypass workspace isolation, plan limits, or suspension controls
- Use the Service to store or transmit unlawful, harassing, or abusive content
- Resell or sublicense the Service without our written consent
- Use automated means to create accounts or send spam
We may investigate violations and suspend or terminate accounts to protect the Service and other users.
7. Your content and data
7.1 Your content
“Your content” means information you enter or upload (transactions, notes, workspace names, etc.). You retain ownership of Your content.
7.2 License to us
You grant Budjinga a non-exclusive, worldwide license to host, store, back up, display, and process Your content only as needed to operate the Service, comply with law, and enforce these Terms. This license ends when Your content is deleted from our systems, subject to backup and legal retention limits.
7.3 Responsibility
You are responsible for the accuracy of Your content and for having any rights needed to store it in Budjinga. Do not enter card numbers or passwords for third-party services into free-text fields.
7.4 Privacy
Our Privacy Policy explains how we handle personal information. It forms part of this Agreement.
7.5 Aggregated data
We may use anonymized or aggregated statistics that do not identify you to improve the Service.
8. Intellectual property
8.1 Our property
The Service, software, branding, documentation, and design (excluding Your content) are owned by Budjinga or our licensors and protected by intellectual property laws. We grant you a limited, revocable, non-transferable right to use the Service during an active account according to these Terms.
8.2 Feedback
If you send suggestions or feedback, we may use them without obligation or compensation to you.
9. Third-party services
The Service may link to or integrate with third-party services (for example Payfast for invoice payments, Google for optional sign-in, and Cloudflare Turnstile for abuse prevention when enabled). Those services are governed by their own terms. We are not responsible for third-party services we do not control.
10. Disclaimers
To the fullest extent permitted by South African law:
- The Service is provided “as is” and “as available”
- We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement where allowed
- We do not warrant that the Service will be error-free, that defects will be corrected, or that data loss will never occur
You use Budjinga at your own risk. Maintain your own backups of important records where needed.
These disclaimers do not exclude warranties or rights that cannot be excluded under the CPA or other mandatory law.
11. Limitation of liability
To the fullest extent permitted by law:
- Budjinga and its directors, employees, and suppliers are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill
- Our total liability for any claim relating to the Service is limited to the greater of (a) the fees you paid to us in the 12 months before the claim, or (b) ZAR 500
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited under South African law.
12. Suspension and termination
12.1 By you
You may stop using the Service at any time. You may downgrade to the Free plan where available or contact us to close your account.
12.2 By us
We may suspend or terminate your account if you:
- Breach these Terms
- Fail to pay amounts due after notice
- Create risk or legal exposure for us or other users
- Use the Service unlawfully
Where reasonable, we will give notice and a chance to remedy, except for serious breaches or legal requirements.
12.3 Effect of termination
On termination:
- Your right to access the Service ends
- We may delete or anonymize Your content after a reasonable period, except where we must retain data by law
- Unpaid invoices remain due
Export your data before closure if the Service provides export tools.
13. Changes to the Service or Terms
We may modify the Service or these Terms from time to time. We will post updated Terms on the website with a new “Last updated” date. Material changes may be notified by email or in-app message.
Continued use after the effective date of updated Terms constitutes acceptance, to the extent permitted by law. If you do not agree, you must stop using the Service.
14. Electronic communications
You consent to receive communications electronically (email, in-app notices). You agree that electronic agreements and notices satisfy any legal writing requirement where ECTA and related law allow.
15. Consumer Protection Act
If you are a consumer as defined in the CPA, these Terms must be read with your non-excludable statutory rights. Where any clause conflicts with mandatory consumer protection, the mandatory rule prevails.
For fixed-term subscriptions (for example annual plans), cancellation and penalty rules must comply with the CPA, including limits on cancellation penalties, as described in our Refund Policy.
16. Governing law and disputes
These Terms are governed by the laws of the Republic of South Africa.
Before formal proceedings, the parties will try in good faith to resolve disputes by contacting info@budjinga.com.
Subject to mandatory consumer forums, you agree that the courts of South Africa have jurisdiction.
17. General
- Entire agreement: These Terms, the Privacy Policy, and Refund Policy are the entire agreement regarding the Service, unless a separate written contract says otherwise
- Severability: If any provision is invalid, the rest remains in effect
- No waiver: Failure to enforce a provision is not a waiver
- Assignment: You may not assign this Agreement without our consent; we may assign it in connection with a merger, sale, or reorganization
- Force majeure: We are not liable for delay or failure due to events beyond our reasonable control (including internet failures, power outages, and acts of government)
